AGREEMENT OF STORE AND DELIVERY SERVICE

　　This AGREEMENT is made and entered into, by and between：
　　_____ (As “Party A”) (以下簡(jiǎn)稱甲方)
　　And
　　____ (As “Party B”) (以下簡(jiǎn)稱乙方)

　　To ensure both parties’ business goals and economic achievement, it is necessary to clarify the responsibilities of both parties. According to this Agreement endorsed herein, Party B agreed to providing door-to-door delivery services for Party A, therefore, this agreement shall be agreed upon and signed by both parties with the following term and conditions.
　　為了明確甲乙雙方的責(zé)任，確保雙方實(shí)現(xiàn)各自的經(jīng)濟(jì)目的，經(jīng)甲乙雙方協(xié)商，就乙方向甲方提供貨物門(mén)到門(mén)運(yùn)輸及派送服務(wù)事宜達(dá)成本合同，以便共同遵守。
　　Section 1.Service to be Rendered第一條：服務(wù)范圍
　　Party B agreed to provide the following service items to Party A:
　　乙方為甲方提供受甲方委托的下列服務(wù)項(xiàng)目
　　1. Express within the city. 市內(nèi)貨物的快遞;
　　2.Domestic routing door-to-door delivery services. 貨物全國(guó)門(mén)到門(mén)運(yùn)輸;
　　3.Provides sufficient storage space for the goods needed to be Stored/delivered.
　　承運(yùn)貨物的倉(cāng)儲(chǔ)服務(wù);
　　4.Provides inspection and packaging services for the goods. 承運(yùn)貨物的分檢、包裝。
　　Section 2.Representation and Warranties 第二條：服務(wù)要求
　　Party B shall agree to provide ____ square meter(s) (m2) of warehouse storage space to Party A for storing of _____, and Party B shall nominate a specialist to manage all affairs involved herein for Party A.
　　乙方將____ 米的庫(kù)房面積租給甲方儲(chǔ)存____，并派專人負(fù)責(zé)甲方的業(yè)務(wù)。
　　1. Both parties shall conduct inspection and quality control activities currently when the goods get into warehouse. Party A should send an authorization notice to Party B for inspection of their goods when Party A is absent. In this case, Party B will not be responsible for any quality problems of the goods. Party B shall prepare a master list after goods are stored in the warehouse, this master list shall be signed by Party B and faxed to Party A in a timely manner.
　　貨物進(jìn)入乙方倉(cāng)庫(kù)時(shí)，由甲方人員與乙方庫(kù)管人員同時(shí)驗(yàn)貨清點(diǎn)入庫(kù);或委托乙方庫(kù)管人員代替甲方人員對(duì)貨物進(jìn)行清點(diǎn)及辦理入庫(kù)手續(xù)，貨物的質(zhì)量問(wèn)題由甲方負(fù)責(zé)。入庫(kù)后乙方應(yīng)為甲方開(kāi)具入庫(kù)清單，并簽名后傳真至甲方。
　　2. The goods stored in warehouse shall be released to the authorized personnel only with signed documents by designated Party A personnel. Party B’s representative has right to refuse any unauthorized requests of storage/release activities from Party A.
　　甲方貨物需要出入庫(kù)時(shí)，乙方憑甲方指定人員手書(shū)簽字方可辦理，其他甲方人員均無(wú)權(quán)要求出入庫(kù)。
　　a)Every need to be signed by authorized personal of Party B and designated pick-up personnel. Every < Receipt > need to be signed by Party B representative and the designated delivery personnel. These forms are official records and shall be treated as part of this agreement. It is both parties responsibility to keep an original signed copy into their records.
　　《出庫(kù)單》需經(jīng)乙方和提貨方簽字, 《入庫(kù)單》需經(jīng)乙方和送貨方簽字，該記錄為合同的有效組成部分，當(dāng)事人雙方各保存一份。
　　b)Party B shall cooperate with Party A on pick-up/delivery businesses in the city. Party B shall intensively follow the daily delivery schedule, to ensure the availability of vehicle for Party A to use and guarantee to respond timely for emergency on-calls.
　　乙方將積極配合甲方市內(nèi)運(yùn)輸業(yè)務(wù)，嚴(yán)格遵循送貨時(shí)間，保證甲方的日常用車(chē)，對(duì)加急服務(wù)做到隨叫隨到。
　　c)Party B shall provide a domestic uniform rate standard for services. Every branch of Party B shall follow their own standard of business strictly; such as delivery personnel must wear company’s uniform during business hours, Party B’s operators must wearing their uniforms. Party B shall designate a person to handle the entire business practice that includes monitoring the entire delivery routes for Party A.
　　乙方全國(guó)范圍內(nèi)實(shí)行統(tǒng)一的報(bào)價(jià)，各公司嚴(yán)格執(zhí)行乙方內(nèi)部的業(yè)務(wù)流程;統(tǒng)一派送人員服裝，對(duì)于乙方的一線操作人員，必須穿著乙方工服。實(shí)行一票到底，指定專人負(fù)責(zé)甲方的業(yè)務(wù)，實(shí)施派送的全程跟蹤。
　　d) The designated warehouse personal from Party B shall be responsible for recording daily business affairs regarding to party A’s goods on hand copy and record data with computer. Party B shall provide the current warehouse state to Party A via e-mail on weekly and monthly basis.
　　乙方的庫(kù)房專員將甲方貨物的日常出入庫(kù)情況記入在案并錄入到電腦中存檔;并將庫(kù)房?jī)?nèi)貨物的最新?tīng)顟B(tài)以周報(bào)、月報(bào)的形式MAIL到甲方。
　　e) Party B shall provide work order for each request received from Party A. Each work order shall include detailed delivery status. In addition, the entire related information should be kept in MIS system as document files, this system shall be written by LAN program. Party A shall review these records by the end of the year for business estimate purposes.
　　乙方對(duì)甲方每次委托的業(yè)務(wù)都開(kāi)具工作單，記錄貨物運(yùn)輸?shù)脑敿?xì)情況。并將所有工作單錄入的信息，通過(guò)LAN上的MIS系統(tǒng)保存到服務(wù)器上，以文本文件的形式保存下來(lái)，以供甲方年底業(yè)績(jī)回顧。
　　Section 3.Term of This Agreement 第三條：服務(wù)期限
　　This agreement shall be effected from_____ to _____. If there are no issues regarding this agreement by the end of this period from both parties, this agreement shall be extend for another term automatically. If either party wants to terminate this agreement during the initial or extended period of time, the party who wants to terminate this agreement shall notify the other party at least 3 months prior to the termination of this agreement. If this notice is less than 3 months, the party who wants to terminate this agreement should pay compensation to the other party.
　　從年月日起至年月日止;合同期滿甲乙雙方如無(wú)異議，本合同將自動(dòng)順延;在協(xié)議期限或自動(dòng)順后，協(xié)議之任何一方如需中途停止協(xié)議時(shí)，需提前個(gè)月，而短于個(gè)月時(shí)，提出方需賠付對(duì)方相應(yīng)的損失。
　　Section 4.The Methods Used for Confirmation of Services. 第四條：服務(wù)確認(rèn)方式
　　1. Party B shall receive a request via telephone or fax from Party A.
　　乙方通過(guò)電話和傳真接受甲方委托。
　　2.Upon approval of a request by both parties, Party A shall submit and transfer the entire documents related to Party B in a timely manner.
　　達(dá)成委托后甲方應(yīng)及時(shí)將運(yùn)輸所需全部手續(xù)移交給乙方。
　　3.Upon receive a work request from Party A, Party B shall issue a work order in accordance with the standard service charge and process appropriate insurance coverage (as requested by Party A) immediately.
　　乙方接受甲方委托后應(yīng)及時(shí)辦理有關(guān)貨物手續(xù)，并按服務(wù)收費(fèi)標(biāo)準(zhǔn)開(kāi)據(jù)工作單，及辦理保險(xiǎn)手續(xù)(在甲方提出保險(xiǎn)要求時(shí))。
　　Section 5.The Liabilities for Default of This Agreement 第五條：違約責(zé)任
　　1. Party B shall warrant the safety of Goods during the period of storage and transportation. In the event that Party B causes any loss, shortage, or damage to the Goods during the storage and process, Party B shall be responsible to claim any liabilities from the insurance company in accordance with the Insurance law. In the event there is no insurance coverage for the damage, then, this coverage shall be compensated by Party B in accordance with “Party B Delivery Clause”. If the loss or damage occurred while unloading from the seaport, railroad, airport, or Force Majeure, Party B will help Party A to file claim to compensate the loss.
　　乙方應(yīng)保證在上述服務(wù)過(guò)程中貨物的安全，如因?yàn)橐曳皆蛟斐韶浳锏膩G失、短少、損壞的，乙方按甲方所投保險(xiǎn)的范圍，依據(jù)國(guó)家保險(xiǎn)條例通過(guò)保險(xiǎn)公司承擔(dān)賠償責(zé)任;若未投保的，按《乙方運(yùn)輸條款》執(zhí)行。門(mén)到港服務(wù)因貨場(chǎng)、鐵路、機(jī)場(chǎng)原因及不可抗力所造成的損失，乙方協(xié)助甲方進(jìn)行索賠。
　　2. Party B shall be responsible for the safety of the Goods that stored within warehouse. Party B shall compensate any loss, shortage, or damage of Goods during storage period (exclude Force Majeure, reasonable depreciation or the damages were caused by Party A).
　　乙方負(fù)責(zé)甲方儲(chǔ)存貨物庫(kù)房的安全。貨物在儲(chǔ)存期間，由于保管不善而發(fā)生貨物滅失、短少、損壞的，將由乙方負(fù)責(zé)賠償損失(因不可抗力、貨物的合理?yè)p耗、甲方的責(zé)任等原因造成的損失除外)。
　　3. If any of loss, damage and contamination occurred because of default of the storage conditions and specific storage requirements under this Agreement by Party B, Party B shall be responsible for compensating the entire loss to Party A.
　　在貨物保管期間未按合同規(guī)定的存儲(chǔ)條件和保管要求，造成貨物滅失、短少、污染、損壞的，應(yīng)承擔(dān)全部賠償責(zé)任。
　　4. If there is any discrepancy between Party A’s master list against the actual number of Goods that are released or stored, or any abnormal delivery schedule were observed by Party B’s representative, Party B shall notify party A immediately. Party B shall clarify the situation with Party A and delivery personnel prior to receiving the Goods into the warehouse. In failure doing so, Party B shall take the responsibility for this incident.
　　如入庫(kù)數(shù)量與甲方《入庫(kù)通知》數(shù)量不符或有到貨異?，F(xiàn)象，乙方應(yīng)立即通知甲方人員到場(chǎng)與送貨方人員在現(xiàn)場(chǎng)當(dāng)時(shí)交涉解決，否則由乙方承擔(dān)全部責(zé)任。
　　5. It is Party A’s responsibility to provide the master list and related documents for each shipment prior to receiving of the Goods into the warehouse. If any discrepancy occurs because of Party A’s failure to provide complete documents or failure to deliver such documents on time for inspection, Party B is not responsible for such discrepancies and will not compensate for any loss.
　　貨物進(jìn)入乙方倉(cāng)庫(kù)前，甲方應(yīng)向乙方提供必要的貨物驗(yàn)收資料，如未提供必要的驗(yàn)收資料或提供的資料不齊全、不及時(shí)，所造成的驗(yàn)收差錯(cuò)及貽誤索賠期或者發(fā)生貨物品種、數(shù)量、不符合合同規(guī)定時(shí)，乙方不承擔(dān)賠償責(zé)任。
　　6. If Party A fails to have a representative present at the warehouse site or fails to prepare a master list upon receiving of such notice from Party B, then, the list that provided by Party B shall be used as an official list and become legal document. Party B will not be responsible for any discrepancies occur during this shipment.
　　若乙方已通知甲方而甲方人員不能到場(chǎng)，則以乙方確認(rèn)的入庫(kù)清單為最終清單，乙方不負(fù)任何責(zé)任。
　　7.Party A shall pack their Goods with the standard package material in accordance with the National Package Guideline. If the package is not packed with standard package materials according the commodity transfer safety regulation, Party A shall repack or send a request to Party B to repack any Goods that do not meet package regulation. Party B will not be responsible for any damages caused by improper packing or the packages having trouble to be opened for damage inspection.
　　甲方委托運(yùn)輸?shù)呢浳飸?yīng)按照國(guó)家有關(guān)規(guī)定的標(biāo)準(zhǔn)包裝。沒(méi)有統(tǒng)一包裝標(biāo)準(zhǔn)的,應(yīng)根據(jù)保證貨物安全運(yùn)輸?shù)脑瓌t加以包裝或委托乙方進(jìn)行。對(duì)因不合格包裝貨物受損及包裝完好無(wú)法開(kāi)箱查驗(yàn)的貨物受損時(shí)，乙方不負(fù)責(zé)任。
　　8. An additional fee will be charged by Party B if Party A has an extra request for packing, special delivery, detour for delivery, and extra equipment needed for delivery to ensure safety and avoid any incidents during the delivery.
　　甲方為防范事故所要求乙方專人押送、特殊包裝、繞道行駛、配備器材等額外產(chǎn)生的費(fèi)用，由甲方支付。
　　9.It is necessary for Party A to negotiate with Party B immediately when a work request already sent to Party B, or the Agreement is expired but the process is delayed because of Party A (including pick-up personnel). Upon agreed by Party B, Party A should receive a permission to continue to use the warehouse. The method of payment should be referred to Section 6 of this Agreement.
　　甲方已通知出庫(kù)或合同期已到，由于甲方(含提貨人)的原因致使貨物不能如期出庫(kù)，應(yīng)立即與乙方協(xié)商，在乙方同意的情況下，甲方可繼續(xù)使用乙方倉(cāng)庫(kù)，計(jì)費(fèi)方法參照本合同第六條。
　　Section 6 Rate of the Agreement 第六條：結(jié)算方式及時(shí)間
　　1.The accounting method and rate for service charges that agreed by both Parties as follows:
　　乙方按照經(jīng)雙方確認(rèn)的收費(fèi)標(biāo)準(zhǔn)進(jìn)行收費(fèi)。
　　Storage Rate (should be paid by Party A): 倉(cāng)儲(chǔ)費(fèi)用：
　　Warehouse charge: ____ RMB /m2/day paid by Party A monthly, monthly payment is ____Yuan. The receipt shall be written as RMB in capital ____ even.
　　庫(kù)房倉(cāng)儲(chǔ)費(fèi)為：____ 元/平米/天。甲方按月繳納租金，每月交納租金為 ____元;人民幣大寫(xiě)：____ 整。
　　Inspection charge: 分撿費(fèi)：
　　For a large amount of inspections (up to ____ items of Goods), the charge from Party B will be:

　　對(duì)于大量的分撿業(yè)務(wù)(貨物種類(lèi)超過(guò) ____ 種以上時(shí))，乙方將收取一定的服務(wù)費(fèi)用：

　　Insurance charge：The insurance rate is____ % of the value of Goods.

　　Other charge： reference to the Appendix. 其它收費(fèi)標(biāo)準(zhǔn)：詳見(jiàn)合同附件
　　2.Party B shall send their previous monthly statement on or before the ____ day of each month to Party A. Party A shall send their payment within ____ days via cash, check, or wiring after Party A received a detail statement from Party B. An additional ____ % of total charge /per day will be charged by Party B if any delay payment that over ____ days.
　　乙方每月____ 日前與甲方進(jìn)行上月業(yè)務(wù)結(jié)算，甲方收到乙方所提供的結(jié)帳明細(xì)、發(fā)票后，在____ 日內(nèi)以現(xiàn)金、支票、電匯的方式支付給乙方。甲方如延遲付款超過(guò)____天以上的，按服務(wù)費(fèi)____ %/天的數(shù)額向乙方支付滯納金。
　　3.If any delay of payment that caused by Party B or statutory holiday, Party A shall not be charged for any delinquent payment.
　　因法定節(jié)假日及乙方原因造成延遲付款，甲方不承擔(dān)延遲付款責(zé)任。
　　4.If there is any change on service rates by Party B, Party B shall notify Party A in writing a month prior to the occurrence of such changes, and Party B should receive a written confirmation from Party A with such changes. Otherwise, the rate will remain the same as listed on this Agreement.
　　當(dāng)乙方提供的服務(wù)價(jià)格發(fā)生變化，應(yīng)提前一個(gè)月通知甲方并得到甲方認(rèn)可，否則仍按本合同附件一所列價(jià)格體系執(zhí)行。
　　Section 7。The Rights and Obligations for Both Parties. 第七條：雙方的權(quán)利義務(wù)
　　1. The rights and obligations for party A 甲方的權(quán)利義務(wù)
　　a) Party A has right to request Party B to delivery the Goods to any destination at any time with any method that already listed herein this Agreement. If there is a need for any changes with this work request, Party A has the right to change the work request before Party B has processed this request for pick-up or delivery.
　　甲方有權(quán)要求乙方按委托的時(shí)間、地點(diǎn)、方式將貨物運(yùn)送到目的地，在未辦理提貨、發(fā)貨手續(xù)之前，甲方有權(quán)變更或取消委托內(nèi)容。
　　b) Party A has right to request Party B to provide updated information at any time regarding to the status of the work request.
　　甲方有權(quán)要求乙方隨時(shí)提供甲方所委托業(yè)務(wù)的進(jìn)展情況，服務(wù)過(guò)程中的信息反饋。
　　c) It is Party A’s obligation to provide accurate delivery addresses and other related information to Party B. Party B shall not be responsible for any loss, shortage and damages because of the wrong information that provided by Party A.
　　甲方有義務(wù)提供準(zhǔn)確的收貨人地址等與業(yè)務(wù)相關(guān)的信息，如因甲方提供的收貨人地址有誤所造成貨物的短少、滅失、損壞或貨物延送，乙方不承擔(dān)責(zé)任。
　　d) Party A shall follow the payment schedule to send payment to Party B. If any breach caused by Party A, Party A shall take the entire responsibility for this matter.
　　甲方有義務(wù)按合同約定時(shí)間與乙方進(jìn)行結(jié)帳，出現(xiàn)違約時(shí)承擔(dān)其責(zé)任。
　　2.The rights and obligations for Party B乙方的權(quán)利義務(wù)
　　a) According this Agreement, It is Party B’s obligation to provide safe delivery services to Party A on time. The services that are requested by Party A should be treated as high priority at any time.
　　乙方應(yīng)按合同要求為甲方及時(shí)提供安全準(zhǔn)時(shí)運(yùn)送貨物服務(wù)，在車(chē)輛運(yùn)力緊張的情況下，優(yōu)先為甲方提供服務(wù)。
　　b) It is Party B’s obligation to keep Party A’s affairs confidential and Party B shall provide a copy of reports for each delivery services to Party A.
　　乙方有義務(wù)為甲方保守商業(yè)秘密的義務(wù)，并向甲方提供承運(yùn)服務(wù)執(zhí)行情況的存根。
　　c) A valid license and other legal documents shall be made available by Party B for each vehicle that used by Party A, these vehicle should be operated by drivers with good driving records.
　　乙方提供的服務(wù)車(chē)輛必須牌照齊全有效，技術(shù)狀況良好。
　　d) The warehouse personnel and staff of Party B shall provide 24-hour services as requested by Party A (including statutory holiday).
　　乙方庫(kù)管人員做到二十四小時(shí)服務(wù)(包括公眾假期)。
　　e) Party B should provide monthly report to Party A with details about each commodity that stored in the leased warehouse and the list of office supplies that used by Party B’s staff. The report shall be accurate and authentic. If Party A representative wish to audit records, Party B shall provide records generated from the previous day.
　　乙方在每月向甲方提供一份貨物庫(kù)存明細(xì)和行政品發(fā)放明細(xì)，做到帳實(shí)相符;如甲方人員需隨時(shí)查看，乙方應(yīng)提供前一天的帳目明細(xì)。
　　f) If Party A violates the Agreement, Party B has the right to temporary suspend any work request that received from Party A.
　　在甲方單方違約的情況下，乙方有權(quán)暫停執(zhí)行甲方所委托的業(yè)務(wù)。
　　Section 8.Amendment and Termination of The Agreement第八條：合同的變更和解除
　　1. During effective period of this Agreement, both parties are prohibited to modify or terminate the Agreement. If any party needs to modify or terminate the Agreement, a written notice to the other party is required ____ days prior to the occurrence of such changes.
　　合同期內(nèi)任何一方不得隨意變更或解除合同，如一方需要變更或解除合同必須提前____天通知對(duì)方。
　　2.In the event that any Force Majeure or incident occurred that caused either party unable to practice this Agreement, it is necessary to notify the other party immediately. This notification should include detailed information of the incident and reasons. Both parties shall evaluate the incident and decide whether or not they should completely or partially terminate this Agreement.
　　由于不可抗力事故致使直接影響合同的履行或者不能按約定的條件履行時(shí)，遇不可抗力的事故的一方，應(yīng)立即將事故情況電報(bào)通知對(duì)方。并應(yīng)立即將事故情況通知對(duì)方，并提供事故詳情及合同不能履行、或者部分不能履行、或者需要延期履行的理由的相關(guān)證明，由雙方按照事故對(duì)履行合同的影響程度協(xié)調(diào)解決是解除合同，或者部分免除履行合同的責(zé)任，或者延期履行合同。
　　3.If there is a disagreement between two parties during the term of the agreement, negotiation should be taken place by both parties. If the further agreement can’t be reached by negotiation, either party has the right to file complaint with the Arbitrate Committee of Industrial and Business Contract or the Court for conciliation or arbitration.
　　本合同在履行時(shí)如發(fā)生爭(zhēng)議，雙方應(yīng)協(xié)商解決，協(xié)商不成時(shí)，任何一方均可向工商經(jīng)濟(jì)合同仲裁委員會(huì)申請(qǐng)調(diào)解或仲裁，也可向人民法院起訴。
　　Section 9.Miscellaneous 第九條：其他
　　1.For any other items that are not covered with this Agreement, the two parties can negotiate it later. All of the attachments of this Agreement have been agreed upon by both parties and should be treated as part of this Agreement.
　　1、其他未盡事宜,雙方另行協(xié)商，達(dá)成的協(xié)議作為本合同的附件，附件與本合同具有同等法律效力。
　　2.IN WITNESS WHEREOF, the parties have executed this Contract in duplicate by their duly authorized representatives on the date first above written. This Agreement will be effective on the date that this Agreement is signed by both parties.
　　作為所協(xié)議事項(xiàng)的證據(jù)，雙方授權(quán)代表于上面首次寫(xiě)明的日期正式簽訂本協(xié)議一式兩份。本協(xié)議自簽定之日起生效。
